The steps to form a Mississippi LLC

The order below is the order most filers follow. The state filing is the only step with a Mississippi fee attached.

  1. Pick a name the state will accept. It has to be distinguishable from names already on the Mississippi register and include an LLC designator. The Mississippi Secretary of State has a name search on its website[3].
  2. Line up the registered agent. The filing lists who receives legal papers for the company. Mississippi allows any individual, corporation or LLC with a physical address in Mississippi. Agents that serve for hire register with the Secretary of State as commercial agents.[4]
  3. File the Certificate of Formation (Form F0100). Submit it to the Mississippi Secretary of State with the $50 fee[2].
  4. Put the owners' terms in writing. An operating agreement records who owns what share and who manages the company. The Mississippi filing itself does not include it.
  5. Get an EIN from the IRS. Banks and payroll providers ask for it. The application is made to the IRS, separately from the Mississippi filing, and the IRS charges nothing.
  6. Mark the report deadline. Mississippi LLCs file the Annual Report every year ($0)[5]. The deadline: April 15[5].

Two ways to file

With Mainstay Filing, the Mississippi filing is prepared and submitted for you. Its price is $199 a year plus the state's $50[1], and that yearly price also covers the registered agent, the EIN application and every Annual Report.

Doing it yourself means filing the Form F0100 with the Mississippi Secretary of State and paying $50, plus any card or portal charge the agency adds.
